Neal Gerber Eisenberg Deal Named Finalist in M&A Advisor’s International M&A Awards

CHICAGO, March 19, 2015 – LawFuel.com – A significant international transaction closed last year by Neal, Gerber & Eisenberg LLP attorneys has been named among the finalists for M&A Advisor’s Cross Border M&A Deal of the Year. The firm’s representation of NIBE Industrier AB in the acquisition of WaterFurnace Renewable Energy, Inc. is being considered for the designation of Cross Border M&A Deal of the Year in the $250–500 million category.

Attorneys in Neal Gerber Eisenberg’s Cross-Border & International and Corporate & Securities practice groups orchestrated the complex international public acquisition by NIBE, a publicly traded Swedish industrial company, of WaterFurnace, a publically traded company based in Fort Wayne, Ind., with additional operations in Canada, China and Australia.

The acquisition was conducted as part of a competitive auction process, and involved complex tax, restructuring, securities, insurance and employee benefits issues that required the firm to coordinate between four different jurisdictions: United States, Canada, Sweden and China. Neal Gerber Eisenberg attorneys worked closely with law firms and investment advisors in the various countries to complete the acquisition.

The deal team was led by John Koenigsknecht with assistance from Jeffrey Bakker, Cristina DeMento, Andrea Despotes, Angela Elbert, Beth Rosner, Betsy Thelen, Andrew May and Kevin Schneider.

The group was able to successfully and efficiently navigate intricate and complex rules and regulations across the four jurisdictions involved, while providing guidance for co-counsel who handled specific negotiations within their respective jurisdictions. The deal, valued at C$378 million, closed in September 2014.
