Via Varejo R$2.8 Billion Initial Public Offering

Davis Polk advised Credit Suisse Securities (USA), Inc., Bradesco Securities, Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated, Goldman Sachs & Co, Itaú BBA USA Securities, Inc., J.P. Morgan Securities LLC, Santander Securities Inc. and UBS Securities Inc. as joint bookrunners on the Rule 144A/Regulation S initial public offering of units of Via Varejo S.A. on the São Paulo Stock Exchange. The selling shareholders, Companhia Brasileira de Distribuição S.A., and members of the Klein Family, sold an aggregate of 107,562,595 units for a total of approximately R$2.8 billion ($1.2 billion). Via Varejo’s IPO is the second-largest initial public offering in Brazil in 2013.

Via Varejo is Brazil’s largest home appliance and furniture retailer with a 26% market share in the retail of specialty household goods, which are distributed through Casas Bahia and Pontofrio stores located throughout Brazil.
