Ground-Breaking Transaction Provides Investment Linked to Both Returns on Patents and Performance of the Company’s Network Security Solutions
NEW YORK- LAWFUEL – Intellectual Property News -Altitude Capital Partners, LLC (“Altitude”), a private investment fund focused on intellectual property (IP), announced today that it completed an investment in Deep Nines, Inc. (“DeepNines”) with returns that are linked to both the performance of the Company as a network security solutions provider and its IP monetization program.
Altitude led the purchase of Senior Secured Notes with a group of existing investors. The Notes are subject to repayment from DeepNines’ IP proceeds and are secured by all assets of the Company. Under the terms of the transaction, Altitude also received warrants entitling it to acquire an undisclosed equity interest in DeepNines.
“We are excited about partnering with DeepNines and its superb management team,” said Robert Kramer, managing partner of Altitude Capital Partners. “The due diligence we conducted on the Company and its intellectual property strongly suggests that its network security solutions are uniquely positioned to lead the market.”
The proceeds from the investment will be used by DeepNines to enhance its core business by accelerating the company’s sales, marketing and engineering efforts, and will support the current patent monetization program and fuel acquisition growth. Deep Nines is an innovative leader in network security with good market position and a strong patent portfolio.
“The novel structure of this financing allows DeepNines to raise capital cost-efficiently,” said Daniel Jackson, president and chief operating officer of DeepNines. “Altitude’s returns are aligned with the performance of the company and our IP assets which form the basis of our appliance, hosted and software-based network security solutions currently installed at over 100 customer locations. We welcome Altitude’s expertise in the world of IP monetization.”
DeepNines (www.deepnines.com), a privately held network security company, was founded in 2000 by its chairman and CEO, Sue Dark. Headquartered in Dallas, Texas, it has thirty-seven employees, with an engineering facility in San Jose, California.
The Company’s technology consolidates several different types of network security functions into a single system to more effectively prevent malicious traffic from entering a computer network. DeepNines was one of the first companies to combine intrusion detection/intrusion prevention systems (“IDS/IPS”) and firewall technologies into a single UTM appliance. DeepNines’ solutions are designed to be invisible in the network, making its security capabilities invulnerable to attacks targeting other security and networks solutions.
