The London office of Sidley Austin Brown & Wood recently advised on three major global bond offerings for the investment banking arm of Deutsche Bank AG.

Cadbury Schweppes’ US$2 billion London Stock Exchange-listed note offering that was completed this week was the largest bond offering completed this year by a UK company. The guaranteed notes were issued in two tranches through a US affiliate, Cadbury Schweppes US Finance LLC.

In addition, Coca-Cola Hellenic Bottling Company issued US$900 million of notes in a Luxembourg Stock Exchange-listed offering last week. The notes were issued through its Dutch affiliate, Coca-Cola HBC Finance B.V., last week. Prior to these two transactions, Sidley Austin Brown & Wood acted for Deutsche Bank on a US$300 million note offering by Pearson plc in June.

Partners Mark Walsh (London) and Mike Fitzgerald (New York), and associates Cynthia Cheung, Jennifer Westerlund, Michelle Bowden (London) and Michael Golden (New York), acted for the manager on these transactions. On Cadbury and Pearson, the legal advisers to the issuer were Rachel Gonzalez and Howard Kenny of Morgan Lewis & Bockius, while Coca-Cola HBC was represented by Sullivan & Cromwell lawyers George White and Spyros Mello.
