Keeshan Witnessed Governance and Regulatory Changes During Accounting Industry Evolution; International Experience Ideal as Firm Opens in London and Grows in Asia

SAN FRANCISCO–LAWFUEL – US Law & Legal News –Heller Ehrman LLP announced that Lawrence (Larry) W. Keeshan, who most recently served as global general counsel of PricewaterhouseCoopers International Limited, has rejoined Heller Ehrman as a shareholder. The firm also announced that Keeshan has been named leader of the Securities Litigation and Regulatory Practice and Managing Director, International, which fully leverages Keeshan’s experience as a private practitioner and as general counsel of a major international organization. Keeshan will maintain offices in San Francisco and New York.

The addition of Keeshan comes one week after Heller Ehrman announced that it will open an office in London in a move that extends three of its core practices – corporate, real estate, and competition – and bolsters Heller Ehrman’s status as a leading legal services provider to emerging growth and technology industry companies. When the London office opens, it will be the firm’s fourth outside of the United States. Heller Ehrman has three offices in Asia, including Beijing, Hong Kong and Singapore.

As Managing Director, International, Keeshan is expected to help the firm develop and implement business strategies relating to Europe and Asia. He will also evaluate expansion and recruiting opportunities, and foster continued integration between the firm’s national and international practices.

“Larry joins us at a time when we are pursuing a strategy of growth in Asia and Europe, and extending our securities litigation and regulatory practice, which is one of our strongest areas,” said Heller Ehrman’s Chairman, Matthew Larrabee. “In addition to helping us shape and implement our international strategies, the experience Larry gained as PwC’s global general counsel will directly benefit our domestic and non-U.S. clients.”

As leader of the Securities Litigation and Regulatory Practice, Keeshan will help steer a formidable team of more than 70 experienced attorneys who represent corporations, officers, directors, accountants and investment banks. Heller Ehrman has been involved in some of the most significant securities litigation matters in the U.S., including recent cases involving AOL TimeWarner, Cisco Systems, Cendant, HBOC, Healthsouth, Parmalat, McKesson Corporation, Xerox, and Yahoo! The firm is currently advising approximately 30 companies, including boards and individuals, on matters arising out of stock options backdating allegations.

By adding Keeshan, the firm extends its capacity to assist companies facing internal investigations, corporate compliance issues and SEC enforcement actions. Keeshan will focus on providing strategic litigation advice, assisting clients with regulatory investigations and proceedings, representing boards and audit committees, and leading internal investigations.

“Given his role at PwC, Larry had a front row seat to witness the increasing relevance of corporate governance and the converging forces that changed the accounting profession,” said Joseph T. McLaughlin, chairman of Heller Ehrman’s New York office. “He has a unique perspective on how corporate officers and boards of directors are now expected to function, which puts him in an ideal position to advise corporate boards and audit committees.”

In 1995, Keeshan was recruited to be general counsel of the Price Waterhouse US firm. When the Price Waterhouse and Coopers & Lybrand networks merged in 1998, he became the global general counsel for the combined organization, with overall responsibility for legal support to PwC global leadership and the network of PwC member firms throughout the world. In that role, Keeshan advised on a broad range of legal and business issues, including major litigation and regulatory proceedings, both in the U.S. and in other jurisdictions; significant business transactions; and internal investigations in a number of countries. In addition, he served as counsel to the PwC Global Board and as a member of PwC’s Global Management Team.

Prior to joining PwC, Keeshan was a partner with two law firms, including Heller Ehrman in San Francisco, where he focused on defending accounting firms in securities class actions and professional liability litigation, as well as antitrust litigation and counseling.

Keeshan received an undergraduate degree in 1967 from Georgetown University, where he was elected to Phi Beta Kappa. He attended the law and business schools at Stanford University, where he completed a four-year program leading to J.D. and M.B.A. degrees in 1971. While at the Stanford Law School, he was elected to the Stanford Law Review and served as articles editor.
