Kilpatrick Stockton’s Eric Kracov Co-Authors New Chapter on Executive Compensation in High-Profile Resource for Law Firms and Legal Departments

WASHINGTON, DC (April 1) — Kilpatrick Stockton announced today that Eric Kracov, partner on the firm’s Financial Institutions Team, co-authored a new chapter on “Executive Compensation” in the recently released, multi-volume treatise Successful Partnering Between Inside and Outside Counsel. The treatise is a joint project of West and the Association of Corporate Counsel (ACC). Mr. Kracov’s fellow authors are Frances B. Jones, Executive Vice President and General Counsel of BB&T Corporation, and Brent Peters, Senior Vice President, Assistant General Counsel of BB&T Corporation.

“Our chapter provides an overview of the most common cash-and equity-based executive compensation techniques with emphasis on how, in each case, corporate law, tax, and securities regulation considerations affect the executive’s reward and the corporation’s potential benefits,” said Mr. Kracov. “It was a pleasure working with Frances and Brent on this chapter and their insight and expertise were invaluable. We present readers with the most relevant, up-to-date information on executive compensation, and provide strategic advice to corporate counsel in today’s challenging economic climate.”

Specific topics addressed in the chapter include (1) short-and long-term cash incentive programs, (2) equity-based programs, such as restricted stock and stock options, and equity derivatives like phantom stock and stock appreciation rights, and (3) deferred compensation arrangements, including supplemental executive retirement benefits. The chapter demonstrates how to ensure compliance with specific legal requirements while coordinating the activities of the constituencies that participate in the design, implementation, and operation of an executive compensation program.

“Corporate counsel will recognize the subjects of four new chapters released with this update as among the most rapidly evolving and important areas of in-house corporate law practice,” said Robert L. Haig, Editor in Chief, Successful Partnering Between Inside and Outside Counsel.

A recent article in The Metropolitan Corporate Counsel on the treatise remarked that, “We are not aware of any other publication that provides broader or more comprehensive coverage of issues important to corporate counsel.”

Eric Kracov counsels clients on the design, implementation and operation of employee benefit and executive compensation programs. In addition, Mr. Kracov provides advice to clients on compliance with the federal and state securities law aspects of stock-based compensation programs. He also advises clients on matters relating to employment and human resources law.

Mr. Kracov counsels public and private company clients on business combinations, including mergers and stock purchases. He advises private investors, including hedge funds and private equity funds, on structuring investments in financial institutions and their holding companies.
