Orrick Advises Toyota Tsusho Corporation and Chubu Electric Power Co Inc. in Strategic Partnership

Tokyo – 10 September 2009 – LawFuel.com Legal Announcements – Orrick, Herrington & Sutcliffe LLP is advising Toyota Tsusho Corporation (“TTC”) and Chubu Electric Power Co., Inc. (“Chubu”) in a strategic partnership with affiliates of Sithe Global Power, LLC (“Sithe Global”).

TTC and Chubu, collectively, have acquired 50% ownership stakes in the Goreway Station, an 875MW natural gas-fueled combined cycle power generating facility that recently commenced commercial operation in Brampton, Ontario (“Goreway Station”). Goreway Station was originally owned by Sithe Global’s wholly owned affiliate, Goreway Luxembourg Holdings S. ar. L. (“Goreway Luxco”), through TTC’s wholly-owned subsidiary, Tsusho Goreway Netherlands B.V. and Chubu’s wholly-owned subsidiary, Chubu Electric Power Goreway B.V.

TTC is Toyota Motor Group’s trading arm and the sixth-largest trading company in Japan. Chubu is Japan’s third-largest electric power company in generation capacity, electric energy sold, operating revenues and total assets.
