Freshfields advises Morgan Stanley on securities joint venture with Mitsubishi UFJInternational law firm Freshfields Bruckhaus Deringer is advising leading global financial services firm Morgan Stanley on the formation of a securities joint venture combining Morgan Stanley Japan Securities Co., Ltd. and Mitsubishi UFJ Securities Co., Ltd., announced on 26 March 2009.

Under the terms of the agreement, the two securities businesses will operate as a single joint venture in Japan, with a management team drawn from both companies. Mitsubishi UFJ Financial Group, Inc. will own a 60 percent stake with Morgan Stanley owning a 40 percent stake. The joint venture, yet to be named, will create a strong, more sophisticated institution that is better able to respond to the needs of both companies’ clients, offering a large domestic retail brokerage network, a full range of institutional businesses and significant global reach.

Freshfields’ team is being led by Tokyo partners James Lawden, Naoki Kinami, James Wood and Junzaburo Kiuchi. Partner Kazuki Okada advised on employment aspects.
