BOSTON–LAWFUEL – Law News Network – Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. announced that it is representing CVS Corporation (NYSE:CVS) as co-counsel in connection with a $21 billion stock-for-stock merger transaction with Caremark Rx, Inc. (NYSE:CMX). The merger transaction, when consummated, would combine one of the nation’s leading pharmaceutical services companies with the nation’s largest retail pharmacy chain. The newly created Fortune 20 company, to be called CVS/Caremark Corporation, would become the nation’s premier integrated pharmacy services provider. The transaction is subject to stockholder approval from both companies as well as regulatory approvals, including antitrust review under the Hart-Scott-Rodino statute pre-merger notification.
