Covington & Burling represented Cysive, Inc. (“Cysive”), a provider of interaction server technology, in its going private transaction that was consummated on December 1, 2003. Cysive was acquired by Snowbird Holdings, Inc. (“Snowbird”), a newly formed entity owned by Nelson A. Carbonell, Jr., Chairman of the Board of Directors, President and Chief Executive Officer of Cysive. Snowbird paid $3.23 per share of Cysive common stock for an aggregate transaction value of approximately $112 million.
