The Complaint alleges that defendants violated the federal securities laws by issuing materially false and misleading statements contained in press releases and filings with the Securities and Exchange Commission during the Class Period. Specifically, the Complaint alleges that during the Class Period, defendants issued materially false and misleading financial statements that misrepresented the financial condition of the Company to investors. On May 17, 2004 it was revealed in a press release issued by the Company stating that the previously reported adjustment of $24.7 million to commissions receivable in its Life Insurance Division needed to be increased to roughly $70-$80 million and this adjustment would require the Company to make “a restatement of its financial results for each of the fiscal years ended June 30, 2003, 2002, and 2001, as well as its interim results for fiscal 2004.”
