represented its client Cisco Systems, Inc. in its proposed acquisition of P-Cube,
Inc., announced today. P-Cube, based in Sunnyvale, California with technology
development operations located in Israel, is a leading developer of IP service
control platforms, which help service providers improve performance and manage
advanced IP services such as voice-over-IP communications, video-on-demand and
interactive gaming. Cisco will pay approximately $200 million in cash and options
in the transaction, which is subject to customary closing conditions and is expected
to close within 60 days.

The P-Cube transaction marks Fenwick & West’s seventh acquisition for Cisco in 2004.
Fenwick’s transaction team included partners Doug Cogen (co-chair of the firm’s M&A
