UK – 31 January 2005 – LAWFUEL – The Law News Network – Allen & Overy is advising Finmeccanica SpA, on a large and complex multi-jurisdictional deal with BAE Systems for EuroSystems in the defence electronic sector.

Under the agreement, a new avionics company will be set up, controlled 75% by Finmeccanica and 25% by BAE Systems. Finmeccanica will also acquire BAE’s military and secure communications assets while the Italian assets of AMS NV will come back under Finmeccanica’s full control.

The deal involved four jurisdictions: Italy, UK, the US and the Netherlands, and a large international dedicated team. Turin-based partner Carlo Pavesio is leading the Allen & Overy team working with Rome-based corporate partner Roberto Donnini, London partners Alison Beardsley and Andrew Telling and Amsterdam partner Robert Jan Lijdsman, assisted by a large cross-border team including senior associates Lodovico Artoni and Hugh Pugsley. Antitrust and regulatory input is being led from Rome by partner Silvia D’Alberti, working with Rome-based associate Lucio D’Amario and partner John Wotton and associate Kira Vermang in London and partners Michael Jahnke and Ken Rivlin in New York. Specialist input was provided on tax (David Lewis and Miles Perryman), real estate (Carol Hopper), IP (Colleen Keck and Colin Pearson), pensions (Mervyn Parry) and employment (Stefan Martin).
