3 December 2004 – LAWFUEL – First for legal, law firm news – Allen & Overy is advising a Macquarie Communications Infrastructure Group-led consortium on its agreement to acquire NTL Inc.’s antenna towers business in the UK for £1.27 billion. The Macquarie Consortium includes Macquarie Bank Limited, Industry Funds Management Nominees (Limited) and other third party investors.

Corporate partners Alan Paul and Pervez Akhtar are leading the Allen &
Overy team with Telecoms Regulatory partner Chris Watson and corporate
partner Cindy Cook. They are being assisted by associates Richard Evans,
William Garvey and Jeremy Robinson. Partner Andrew Bamber and associate
William Lucas are advising leveraged financed aspects. Advice on tax
issues is being provided by partner Patrick Mears and associate Lucy
Woodhall. Partner Dan McKimm and associate Jo Taylor are advising on real
estate and EPI aspects respectively.

Commenting Alan Paul said: “This is the second major transaction we have
undertaken for the client this month, having also advised another
Macquarie-led consortium on its acquisition of a €735 million 70%
controlling interests in Brussels International Airport Company.”
