9 April – LAWFUEL – The Law News Network – Linklaters has advised the sole global coordinator, ABN AMRO Rothschild and joint bookrunners JP Morgan Securities and Lehman Brothers on the EUR 2.52 billion share offering by ABN AMRO Holding.

The funds were raised, in part, to fund ABN AMRO Holding’s proposed bid for Banca Antonveneta. The intended bid for Banca Antonveneta values 100 per cent of Banca Antonveneta’s share capital at EUR 7.2 billion and implies a maximum cash consideration for ABN AMRO of EUR 6.3 billion.

The deal involved a private placement of 135 million ordinary shares to qualified institutional buyers in the United States and to institutional investors outside the United States. The transaction closed on 5 April 2005.

Richard Levy, a partner in Linklaters’ Amsterdam office, commented:

“We are delighted to have been selected by ABN AMRO Rothschild to act on such an important transaction for ABN AMRO Holding. It is the largest equity offering by a Dutch issuer for some time, and illustrates ABN AMRO’s confidence in the strength of our Dutch law practice, as well as our ability to complement our local market expertise with the highest quality US and English law advice through one firm”.

The Linklaters team was led by Richard Levy, together with Dutch capital markets partner Pim Horsten and managing associate Wim Hazeleger, in our Amsterdam office, and US capital markets partner Jason Manketo in our London office.
