10 July – LAWFUEL – The Law News Network – Linklaters has advised ING Bank on the establishment of its EUR 40 billion Global Issuance Programme. This new programme consolidates and enhances ING Bank’s previous issuance programmes and is structured to comply with the Prospectus Directive.
The programme permits ING to issue a variety of securities: MTNs, share linked notes, index linked notes, exchangeable notes, inflation linked notes, fund linked notes, credit linked notes and warrants. The fact that the programme is so highly structured, permitting such a wide range of securities to be issued, and that it was approved by the Dutch regulator (the AFM) on 1 July, the date the Prospectus Directive came into force in The Netherlands, made the project unique.
Linklaters teams from our Amsterdam, London, Brussels, Luxembourg and New York offices worked together on the project. The deal became public on 1 July 2005.
