Nealy has joined the Firm as a Partner in the Financial Products and Real Estate Services Department of the Firm. Nealy was a partner at Morris, Manning & Martin, LLP and is a former managing partner of the Atlanta office
and Vice Chairman of the Real Estate Department of Paul, Hastings, Janofsky &
Walker LLP.
Nealy represents lenders, developers and investors in connection with
construction project lending, credit lending and corporate borrowing, and
office, housing, retail and multi-use developments.
Prior to Paul Hastings, Nealy was a partner and chairman of the Real
Estate & Banking Department of Hansell & Post, the predecessor to the Atlanta
office of Jones Day.

Nealy has been recognized for 10 years as one of the “Best Lawyers in
America” and has been named one of the “Ten Most Influential Lawyers in
Atlanta” by the Atlanta Business Chronicle (1995). He is a member of the
American Bar Association, the State Bar of Georgia and the Atlanta Bar
Association. He received his undergraduate degree in Economics from Emory
University and his Juris Doctor degree from Emory University School of Law.

Two Attorneys Follow Nealy to Powell Goldstein
In addition to Nealy, two other attorneys from Morris, Manning & Martin
joined Powell Goldstein’s Real Estate Finance and Development Practice Group
as Of Counsel: Gretchen E. von Dwingelo and Teresa Brazzel Pernini.
Von Dwingelo focused on commercial and banking transactions, as well as
debt restructuring and workouts, while at Morris, Manning & Martin, and before
that, at Paul Hastings. Particular areas of her expertise include asset-based
financing, cash flow lending, communications industry lending practice,
franchise lending, revised Article 9 of the UCC (Uniform Commercial Code) and
related issues, and structured finance.
Von Dwingelo graduated from Florida International University and received
her Juris Doctor degree from the University of Miami School of Law. She
served as Executive Editor of the University of Miami Entertainment and Sports
Law Review. She is a member of the State Bar of Georgia.
Pernini specialized in real estate finance at both Paul Hastings and
Morris Manning, particularly in representing agent lenders in secured loan
syndications and participations. In addition, her practice includes
representing various financial institutions and life insurance companies in
negotiating and drafting loan documents, as well as coordinating and handling
closings for acquisitions and construction and permanent loans secured
primarily by commercial real estate. She has administered loans of various
credit facilities ranging from $55 million to $450 million.
Pernini graduated summa cum laude from Louisiana Tech University and
received a Juris Doctor degree from the College of William and Mary School of
Law. She is a member of the American Bar Association and of the State Bars of
Georgia and South Carolina, and was named by Georgia Super Lawyers Magazine as
a 2005 “Rising Star”.
