Clifford Chance advises Namco Bandai on takeover of Zapf Creation AG
Namco Bandai submitted voluntary takeover offer to the shareholders of Zapf Creation AG.
The international law firm Clifford Chance advises the Japanese toys manufacturer Namco Bandai Holdings Inc., Tokio, on the intended takeover of Zapf Creation AG, Rödental.
Via its German subsidiary, Bandai GmbH, Nuremberg, Namco Bandai has submitted a voluntary takeover offer to the shareholders of Zapf Creation AG amounting to EUR 10.50 per share. The offer is aimed at a takeover of more than 75% of the share capital.
Namco Bandai is one of the leading toys and games manufacturers in the world (renowned for Tamagotchi, Pokémon, Pac-Man, etc.). In the business year 2005/2006 the group generated a total turnover of EUR 3.3 billion and had about 6.800 employees.
Zapf Creation AG is one of the leading manufacturers of toys and functional dolls. In the business year 2005 the company achieved a consolidated turnover of approximately EUR 140 million and employed more than 400 people worldwide.
