Firm Ranked Among Top Three on U.S. and Worldwide M&A Lists After First Quarter

April 6, 2005 – LAWFUEL – The Law News Network – DLA Piper Rudnick Gray Cary finished the first quarter ranked among the top law M&A firms, both in the U.S. and worldwide, in the first legal advisor rankings issued by Thomson Financial since the January 1, 2005 merger.

According to Thomson’s first quarter rankings, DLA Piper ranked third in the U.S. based on the number of completed transactions (30 deals) and tied for third worldwide, again, based on the number of completed transactions (45 deals).

Prior to the merger, none of the firms individually had been ranked as high on either list since Thomson began publishing its well known rankings of top M&A legal advisors. In 2004, Gray Cary and Piper Rudnick were involved in more than 100 completed U.S. transactions representing a total value of approximately $25 billion. Combined, Gray Cary and Piper Rudnick would have ranked 6th nationally, based on completed U.S. deals, according to Thomson Financial 4Q 2004 league tables.

DLA Piper also ranked among the top 25 law firms for transactions involving Canadian, French and Nordic targets, according to worldwide legal advisor tables in Thomson Financial’s report.

“These results clearly point to the combined strength of our corporate and transactional practice,” said Diane Holt Frankle, co-chair of the firm’s M&A Group. “We certainly expected to make a significant jump above where we’ve separately ranked in the past, but to land in the top three on both lists after only one quarter shows how we were able to maintain our focus on our clients and their business goals early in the year.”

“The first quarter results also show how clients have been immediately receptive to what we can do for them as M&A counsel, both in the U.S. and internationally,” added Steve Landsman, co-chair of the firm’s M&A Group. “Our fast start and the momentum we’ve established is very exciting. We are privileged to be able to work with great clients and outstanding people, and we all have a lot to look forward to during the rest of the year.”

Since January, DLA Piper’s M&A group has been involved in several deals that demonstrate how the firm’s corporate practice can represent clients in cross-country and cross-border transactions. For example, in March, the firm announced it is representing Beverly, Mass.-based Groove Networks, Inc., a leading provider of collaboration software for the “virtual office,” in its acquisition by Redmond, Wash.-based Microsoft Corporation. In February, DLA Nordic and DLA Piper Rudnick Gray Cary US LLP announced they were representing Carlsbad, Calif.-based Invitrogen Corporation in the company’s acquisition of Dynal Biotech, a privately held biomagnetic separation technology company based in Oslo, Norway.

In the U.S., DLA Piper’s Mergers and Acquisitions group consists of an integrated team of more than 160 transactional lawyers who handle complex transactions, including stock-for-stock mergers, management buyouts, tender offers, proxy contests, cross-border acquisitions, and divisional purchases and sales. The firm also represents special committees of boards and advise in contests for control, including hostile bids and proxy contests.
