International law firm Allen & Overy advised Hamburg-based Hapag-Lloyd
AG, the main subsidiary of TUI, on the outsourcing and sale of the
bulk and special logistics division of VTG Lehnkering AG, Hamburg, a
subsidiary of Hapag-Lloyd to the private equity fund Triton Managers
Limited.

Hamburg-based partner Dr Helge Schäfer led the Allen & Overy team,
assisted by senior associate Dr Thomas Lappe and associates Marion
Eichert, Dr Carsten Lüers, Dr Tibor Pataki, Dr Andrea Schefold and
Tilman Althaus. Advice on employment issues was provided by
Frankfurt-based partner Dr Anja Breitfeld, assisted by associate Wibke
Kleber. Advice on antitrust aspects was provided by corporate partner
Dr Ellen Braun and advice on environmental law by Dr Marcus Hödl.
Senior associate Martin Bünning advised on tax matters.

Dr Helge Schäfer comments: “We are delighted to have advised
Hapag-Lloyd on this transaction. The complexity of the legal
structures as well as advising on several areas of law demonstrated –
once again – the strength of the German M&A practice.”

Freshfields Bruckhaus Deringer advised Triton, and Linklaters advised
the financing banks.

British MP George Galloway and his opponent the Daily Telegraph will leave no stone unturned to sort out what could be a spectacular libel case.
