Four Partners Elected and 10 Counsel Promoted for 2007
NEW YORK, January 8, 2007 – On January 1, 2007, four new partners were admitted to Kaye Scholer and 10 attorneys were promoted to counsel.
Newly Elected Partners
Laurie Abramowitz (Tax, New York) handles all aspects of tax work for corporations, partnerships and high-net-worth individuals. Her practice is broad-based and involves tax planning for a wide variety of transactions, structuring, negotiating and documenting complex corporate transactions and private equity structures, including mergers, acquisitions, divestitures, reorganizations, financing transactions, private and public debt and equity offerings and restructurings.
Michael Damast (Real Estate, New York) focuses on real estate capital markets transactions, including the representation of investment banks and other institutional lenders in the origination, acquisition, disposition, syndication and securitization of first mortgage debt, mezzanine and other high yield debt and preferred and common equity investments.
Salvatore Mastrosimone (Real Estate, New York) has extensive experience in real estate financing and securitization transactions and regularly represents institutional lenders, investment banks and institutional investors in securitized permanent and bridge loan mortgage financing and mezzanine financing. Mr. Mastrosimone also regularly represents developers in the purchase and sale of shopping centers, office buildings and multifamily properties.
Rhonda Trotter (Litigation, Los Angeles) is a trial lawyer who represents entertainment, media, manufacturing and retail clients in a variety of civil and commercial disputes, including breach of contract, copyright and trademark infringement, false advertising, and unfair competition matters. Ms. Trotter has also counseled clients in the negotiation of recording contracts, publishing agreements, production agreements and distribution deals, and brings her extensive knowledge of the entertainment and media industries to bear in representing those clients in adversarial proceedings.
Promoted to Counsel
Sara Adler (Corporate & Finance, New York) is experienced in the representation of domestic and foreign clients in a variety of transactions, including mergers, private acquisitions by public companies, and securities matters, including compliance with SEC reporting requirements and corporate governance requirements, as well as general corporate and transactional matters.
R. Paul Barkes’ (Corporate & Finance, Los Angeles) practice focuses on aviation finance and leasing transactions. He has represented aircraft lessors in lease and finance transactions throughout the world, including operating leases, sales, acquisitions, acquisition financings and securitizations. Mr. Barkes has also represented lenders and borrowers in asset-based and unsecured finance transactions, including syndicated senior credit facilities, mezzanine financings, acquisition financings, and bankruptcy related financings and workouts.
Richard Brown (Corporate & Finance, New York) represents financial institutions in domestic and cross-border asset-backed securitizations. Mr. Brown has participated in transactions involving the securitization of diverse asset types, including aircraft lease receivables, trade receivables, equipment loan receivables and healthcare receivables, and is also experienced in more traditional forms of secured lending.
Bryant Delgadillo (Litigation, Los Angeles) counsels and represents clients in a wide variety of matters, including antitrust, unfair competition, product liability and employment cases. Mr. Delgadillo also has a broad range of experience in complex commercial litigation, particularly in litigation involving the energy industry.
Jeffrey Horowitz (Litigation, New York) is an experienced trial lawyer who has represented a wide range of clients in major product liability, patent and other complex litigation, and also counsels clients on litigation avoidance. He has been a key member of national trial counsel teams representing manufacturers of pharmaceuticals and Mr. Horowitz recently tried two patent infringement cases to verdict in California and in New Jersey, the first involving a medical device and a method of treatment, and the second a pharmaceutical ANDA case.
Christopher Jagoe (Litigation, New York) focuses on patent litigation and counseling related to biotechnology, pharmaceutical and chemical patent matters. He has a broad range of experience in all phases of patent litigation and his areas of technology expertise include organic synthesis of natural products, fluoropolymers, transgenic crops and insecticides, and ultrasound contrast agents.
Trent Murch’s (Corporate & Finance, Chicago) practice focuses on securitization transactions. He has extensive experience regarding recent developments in federal securities laws, including Regulation AB and Securities Offering Reform. His practice includes counseling clients through the process of preparing Regulation AB compliant registration statements, guiding clients through the review process with the Securities and Exchange Commission, and conducting issuances off of newly effective Regulation AB compliant registration statements. In addition, Mr. Murch has experience with respect to the periodic reporting requirements under Regulation AB, as well as the filing rules for free writing prospectuses under Securities Offering Reform. Representative transactions handled by Mr. Murch include securitization transactions collateralized by equipment receivables, credit card receivables, dealer floor plan receivables, auto receivables, as well as a wide variety of other asset types.
Sapna Palla (Litigation, New York) counsels and represents clients in a variety of matters including intellectual property, antitrust, and complex commercial issues. Ms. Palla has practiced before both state and federal courts, including appeals to the Federal Circuit, and has experience in alternative dispute resolution such as arbitration and mediation. In the intellectual property area, Ms. Palla’s practice encompasses an array of technologies, including pharmaceuticals and biotechnology.
Ian Tattenbaum (Real Estate, New York) focuses on real estate finance representing both borrowers and lenders, with an emphasis on representing investment banks and other financial institutions in the origination of capital market first mortgage and mezzanine loans, construction loans and bridge loans.
Thomas Yadlon (Corporate & Finance, New York) focuses his practice on acquisitions and divestitures of publicly held and private companies and other commercial transactions, including public and private equity and debt offerings and investments, joint ventures and licensing agreements. Mr. Yadlon also counsels publicly held and private companies on a variety of general corporate matters, including securities laws compliance and governance matters.
