WEIL, GOTSHAL & MANGES LLP ADVISED GENSTAR CAPITAL IN
ITS ACQUISITION OF COLFAX POWER TRANSMISSION GROUP
SAN FRANCISCO – December 6, 2004 -Weil, Gotshal & Manges LLP, one of the world’s leading law firms, advised Genstar Capital, L.P. in its acquisition of Colfax Power Transmission Group from Colfax Corporation.
Concurrent with this transaction, Colfax PT has merged with another recently acquired Genstar Portfolio Company, Kilian Manufacturing Corporation, to form a new entity, Altra Industrial Motion, Inc. Genstar acquired Kilian Manufacturing in October 2004.
Genstar acquired Colfax PT and Kilian Manufacturing for a total purchase price of approximately $200 million before fees and expenses. To finance the acquisition, Altra Industrial Motion issued $165 million in senior secured notes led by Jefferies & Company. The remainder of the purchase price was financed with equity provided by Genstar, its affiliates, Caisse de dépôt et placement du Québec, and the Altra management team. Altra Industrial Motion also entered into an undrawn senior revolving credit facility provided by Wells Fargo Foothill.
