Luce Forward Enhances San Diego Office with the Addition of Jeremy B. Hayden

Luce, Forward, Hamilton & Scripps LLP, a prominent California law firm with a national reputation, today announced Jeremy B. Hayden has joined the firm’s San Diego office as Of Counsel. Hayden will primarily be a member of the Real Estate Securities and Finance practice group.

Hayden, who was most recently Office Counsel at Mintz Levin, represents real estate investment trusts (REITs) with respect to a wide variety of matters, including SEC compliance, capital-raising transactions, corporate governance and other matters. As part of the firm’s Real Estate Securities and Financing group, Hayden will be working with Partner Darryl Steinhause who chairs the group and pioneered the legal structure for the modern tenant-in-common syndication model more than 10 years ago.

Luce Forward’s nationally recognized Real Estate Securities and Finance practice group works with real estate securities and financing vehicles including funds, REITs, TICs, debentures and DSTs for a broad array of investments such as retail, office, hospitality and multifamily properties, as well as distressed debt mezzanine financing and senior financing. The group also provides in-depth securities and tax counsel.

In addition to his REIT experience, Hayden also advises public and private companies regarding all aspects of their growth and development, including corporate formation and governance matters, capital raising transactions, mergers and acquisitions, licensing transactions and SEC compliance. His background includes extensive experience with regard to private equity and debt financings, specializing in representation of emerging growth companies and their funding sources, as well as compliance with federal and state securities law, and representation of seller and buyers in a variety of merger and acquisition transactions including stock and assets sales, mergers, tender offers and other business combinations and divestitures.

Hayden received his Juris Doctor degree from the University of Michigan Law School and his bachelor’s degree from Princeton University.
