MONTVALE, NJ,June 9, 2004- LAWFUEL -Notice is hereby given that a class action lawsuit was filed on June 7, 2004, in the United States District Court for the District of New Jersey, on behalf of all purchasers of the publicly traded securities and/or sellers of put options for Genta Inc. (“Genta” or the “Company”) (Nasdaq: GNTA) between September 10, 2003 and May 3, 2004, inclusive (the “Class Period”) against Genta, Raymond P. Warrell, Jr. and Loretta M. Itiri.

The complaint alleges that defendants violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder, by issuing a series of material misrepresentations to the market between September 10, 2003 and May 3, 2004.

Plaintiff seeks to recover damages on behalf of class members and is represented by, among others, the law firm of Kantrowitz Goldhamer & Graifman. Kantrowitz Goldhamer & Graifman has litigated many class actions for violations of securities laws in federal courts over the past 30 years, and maintains an office in New Jersey and has obtained court approval of settlements on numerous occasions.

If you acquired Genta securities or sold its put options between September 10, 2003 and May 3, 2004, you may, no later than 60 days from May 4, 2004 (approximately July 2, 2004) request that the Court appoint you as lead plaintiff.

A lead plaintiff is a representative party that acts on behalf of other class members in directing the litigation. In order to be appointed lead plaintiff, the Court must determine that the class member’s claim is typical of the claims of other class members, and the class member will adequately represent the class. Under certain circumstances, one or more class members may together serve as “lead plaintiff.” Your ability to share in any recovery is not, however, affected by the decision whether or not to serve as a lead plaintiff. You may retain Kantrowitz Goldhamer & Graifman, or other counsel of your choice, to serve as your counsel in this action.
