New York, November 28, 2005 – LAWFUEL – The Law News Network – Weil, Gotshal & Manges LLP, the international law firm, announced on Tuesday, November 22nd that it has elected 12 of the Firm’s attorneys to the partnership, effective January 1, 2006.

The new partners are: Beatriz Azcuy-Diaz (Corporate – Miami), David R. Fertig (Litigation/Regulatory – New York), Kyle C. Krpata (Corporate – Silicon Valley), Benjamin E. Marks (Litigation/Regulatory – New York), Joanne Osendarp (Litigation/Regulatory – Washington), S. Scott Parel (Corporate – Dallas), Salvatore A. Romanello (Litigation/Regulatory – New York), Thomas Schmid (Corporate – Munich), Soo-Jin Shim (Corporate – New York), Scott M. Sontag (Tax – New York), Angela C. Zambrano (Litigation/Regulatory – Dallas) and Artur Zawadowski (Corporate – Warsaw).

Beatriz Azcuy-Diaz is a member of the Firm’s Corporate department and is resident in the Miami office. Her practice focuses on complex real estate investment and capital market financings, including senior and subordinate debt structures, construction lending, portfolio acquisitions, syndications and mezzanine loans. Ms. Azcuy-Diaz received her J.D. from the University of Miami School of Law in 1994 and received her B.A. from Florida International University in 1991.

David R. Fertig is a member of the Firm’s Litigation/Regulatory department in the New York office. He concentrates his practice in complex commercial litigation and arbitration and has litigated a broad array of matters for clients in the consumer and commercial finance, insurance, pharmaceuticals, health care, media and entertainment industries. Mr. Fertig received his J.D. in 1997 from Brooklyn Law School, where he was a Richardson Merit Scholar, and his undergraduate degree in 1994 from Princeton University, where he was a William H. Cane Scholar.

Kyle C. Krpata is a member of the Firm’s Corporate department and is resident in the Silicon Valley office. His practice includes corporate and securities law, with an emphasis on private equity, mergers and acquisitions and public and private offerings of debt and equity securities. Mr. Krpata earned his J.D. at the Southern Methodist University School of Law in 1997 and received his B.A. from Stanford University in 1993.

Benjamin E. Marks is a member of the Firm’s Litigation/Regulatory department and is based in New York. His areas of concentration include copyright, trademark, misappropriation, music licensing, unfair competition, antitrust, privacy and the First Amendment. Mr. Marks received his J.D. from the New York University School of Law in 1997, where he was an editor of the New York University Law Review. He graduated magna cum laude from the University of Pennsylvania in 1993.

Joanne Osendarp is a member of the Firm’s Litigation/Regulatory department and is resident in the Washington office. Her practice focuses on international trade matters, including the implementation and enforcement of international trade and investment agreements, as well as representation of governments and companies in U.S. trade remedies proceedings and international trade negotiations involving subsidies, investment and market access issues. Ms. Osendarp received an L.L.B. from the University of Ottawa Law School in 1986. She also received an M.A. in 1983 and a B.A. in 1981, both from York University.

S. Scott Parel is a member of the Firm’s Corporate department and is resident in the Dallas office. His practice includes corporate and securities law, with an emphasis on private equity, mergers and acquisitions and venture capital transactions. Mr. Parel graduated magna cum laude from the Southern Methodist University School of Law in 1997 and received his B.A. from the University of California at Los Angeles in 1992.

Salvatore A. Romanello is a member of the Firm’s Litigation/Regulatory department in the New York office. His practice includes complex commercial litigation and arbitration and he has represented clients involved in a range of industries, including financial services, airline and consumer products. In 2000, Mr. Romanello served as a law clerk to the Honorable Richard M. Berman of the United States District Court for the Southern District of New York. Mr. Romanello received his J.D. in 1997 from Fordham University School of Law, where he was a member of the Law Review, and his B.A. from Yale University in 1994.

Thomas Schmid is a member of the Firm’s Corporate department and is based in the Munich office. He focuses on private equity and mergers and acquisitions as well as general corporate law. He has considerable experience in both cross-border and national transactions. Thomas Schmid passed his law degree at the University of Passau in 1992 and obtained his doctorate in 1994.

Soo-Jin Shim is a member of the Firm’s Corporate department and is resident in the New York office. Her primary practice areas include banking and finance, bankruptcy-related corporate transactions and mergers and acquisitions with extensive experience in cross-border finance, acquisition and leveraged finance, asset-based lendings, debtor-in-possession and exit financings, work-outs and restructurings. Ms. Shim earned a J.D. in 1996 from the New York University School of Law and received a B.A. from Brown University in 1992.

Scott M. Sontag is a member of the Firm’s Tax department and is based in the New York office. His practice is focused primarily on structuring and negotiating domestic and international mergers and acquisitions for private equity funds and their portfolio companies, as well as for the Firm’s publicly held clients. Mr. Sontag earned a J.D. from the New York University School of Law in 1997 and received a B.B.A. from the University of Michigan’s Ross School of Business in 1993. He is also a Certified Public Accountant.

Angela C. Zambrano is a member of the Firm’s Litigation/Regulatory department and is based in the Dallas office. Her practice is focused primarily on complex commercial litigation. Prior to joining the Firm, Ms. Zambrano clerked for the Honorable Mary Beck Briscoe of the United States Court of Appeals for the 10th Circuit. She received a J.D. magna cum laude in 1997 from the Southern Methodist University School of Law, where she was the Articles Editor for the SMU Law Review, and earned a B.S. from the University of Kansas in 1994.

Artur Zawadowski is a member of the Firm’s Corporate department. He is based in the Warsaw office and concentrates his practice in commercial and corporate law with a special focus on restructuring and reorganization issues. He also advises on capital investment and capital markets transactions, and on telecommunications law. Mr. Zawadowski received a Master of Laws from the Faculty of Law and Administration of the Warsaw University in 1994 and received an LL.M. degree from Harvard University in 1999.

Additionally, four lawyers were named Counsel to the Firm, also effective January 1, 2006. They are John O’Loughlin (Litigation/Regulatory – Washington), Jean-Yves Ollier (Corporate – Paris), Denise Kosineski Plunkett (Litigation/Regulatory – New York) and

Erika L. Weinberg (Corporate – New York).
