New York, NY – July 24, 2007 – LAWFUEL – The Law Newswire – Pepper Hamilton LLP announced that Carol M. Degener has joined its New York office as of counsel in the Financial Services Practice Group. Ms. Degener has a broad corporate and corporate finance practice that includes the establishment and operation of hedge funds and fund of funds, domestically and offshore.

Ms. Degener joined Pepper from Seward & Kissel LLP in New York, where she was counsel in the firm’s Corporate Finance Group.

Ms. Degener’s practice includes working with SEC-registered investment advisers and commodity pool operators. She has experience with the structuring of management companies and general partners, regulatory compliance, solicitation agreements and disclosure regarding performance. She also is experienced in shipping sale leaseback transactions, financings and asset acquisitions and dispositions, and asset-backed securitization transactions, with a particular emphasis on financial services fee and lease receivables.
Additionally, Ms. Degener has worked with private placements – including Rule 144A and Regulation S placements – of debt and equity, secured and unsecured lending transactions, joint ventures and acquisitions. She also has experience in the aircraft area, in connection with asset acquisitions, dispositions and financings.
Ms. Degener is a graduate of Barnard College, Columbia University (B.A. 1983), Columbia University’s School of International and Public Affairs (M.I.A. 1984) and Harvard Law School (J.D. 1987).
