SAN FRANCISCO and MOUNTAIN VIEW, Calif. — September 11, 2004 LAWFUEL – Best for law news, mergers & acquisitions, legal news, law research Fenwick & West LLP represented its client Cisco Systems, Inc. in its proposed acquisition of NetSolve, Incorporated, announced today. NetSolve, based in Austin, Texas and traded on the Nasdaq Stock Market, is a leading provider of remote network and IT infrastructure management services for businesses. Cisco will pay $11 in cash per share of NetSolve stock, and convert NetSolve options into options to purchase Cisco stock, for an aggregate transaction value of approximately $137 million. The transaction is subject to customary closing conditions and is expected to close by the end of 2004.

The NetSolve transaction marks Fenwick & West’s eighth acquisition for Cisco this year.
