Francisco office and to serve on the firm’s Management Committee.

practices with the firm.

The office practices in a broad array of legal disciplines, including
investment management, securities enforcement, broker-dealer regulation,
public and private corporate law, mergers and acquisitions, mortgage
banking, consumer and commercial finance, bank regulation, employee benefits
and ESOP, civil and intellectual property litigation, antitrust and project
finance.

property policing procedures; transactions; licensing and alliances;
branding programs; and acquisition and divestiture of intellectual property
assets and litigates in both patent and trademark cases in the bioscience
and electrical areas. In addition, she was selected for inclusion in the
Managing Intellectual Property’s Expert Guide–The World’s Leading Trademark
Attorneys. Bailey-Wells is a 1984 graduate of the University of San
Francisco School of Law.

Commenting on Bailey-Wells’ new position, Peter J. Kalis, K&L’s chair and
managing partner said: “K&L is very appreciative of all that Peter Sheats
has accomplished during his leadership of our San Francisco office. Over the
past four years, our San Francisco office has grown and our areas of
representation have become more diverse. Looking to the future, we are
confident that Deborah’s experience, leadership and professional dedication
will be invaluable to the continued growth of our San Francisco office and
to the firm’s service to its Northern California clients.”

Bailey-Wells added: “Now is a tremendous time to take on the role of an
Administrative Partner within K&L. The San Francisco office continues to
grow in both size and in the diverse nature of our client engagements. With
K&L’s expansion into the United Kingdom through its pending merger with
Nicholson Graham & Jones, the firm as a whole is moving into exciting new
markets and practices. I very much look forward to contributing to the
continued progress and success of our office and our firm.”

K&L serves a dynamic and growing clientele in regional, national and
international markets that includes representation of over half of the
FORTUNE 100. Currently approximately 800 lawyers strong, K&L’s practice
embraces three major areas–litigation, corporate and regulatory–and
related fields. On January 1, 2005 K&L will combine with the English firm
Nicholson Graham & Jones. Once the combination is finalized, Kirkpatrick &
