Skadden, Arps is representing The Dial Corporation in connection with its approximately $2.9 billion acquisition in the form of an all cash merger by Henkel KGaA of Germany. The merger, priced at $28.75 per share in cash, is scheduled to be voted upon by the shareholders of Dial during the first quarter of 2004.
Dial, headquartered in Scottsdale, Arizona, is well-known for its consumer products including Dial soaps and body washes, Purex detergents and Renuzit air fresheners. Henkel is well-known for numerous consumer products and owns significant equity interests in The Clorox Company and Ecolab Inc.
