Global, 30 July 2011 – Baker & McKenzie has acted as lead transaction counsel to Ecolab Inc. (NYSE: ECL) in connection with its merger with Nalco Holding Company (NYSE: NLC) announced last month. Under the terms of the USD8 billion transaction, a subsidiary of Ecolab will merge with Nalco, which is based in Naperville, Illinois, with operations in more than 150 countries. The merger is structured to provide a cash/stock election to the stockholders of Nalco.
Baker & McKenzie’s global team was led by Chicago corporate partner Dieter Schmitz and included Chicago corporate head Craig Roeder and corporate partner Edward Harrison.
