Jason Berne, Chicago
Jason Berne, formerly an associate at the firm, is a member of the Banking, Business & Public Finance Client Service Group.
Berne represents lenders and borrowers in a wide range of financing transactions, including secured and unsecured credit facilities, private placements, real estate-related financing, multiparty syndications and mortgage loans. He has advised debtors and creditors in a variety of workout matters, including creditor-assignment financing transactions.
Berne received his J.D., cum laude, in 2000 from Saint Louis University, his M.A. in 1995 from the University of Sussex-England and his B.A., cum laude, in 1992 from Georgetown University.
Michael Carey, Atlanta
Michael Carey is a member of the Class & Derivative Actions, Commercial Litigation and Securities Litigation & Enforcement Client Service Groups.
Carey has significant experience in complex securities, corporate, financial and commercial litigation, including the defense of securities fraud class actions, shareholder derivative actions, officer and director liability litigation, mergers and acquisitions litigation and fiduciary litigation. He has represented public and private corporations and their officers and directors, audit committees, institutional investors, professional firms, trust beneficiaries and municipalities. In addition to his litigation experience, Carey has represented corporations and individuals in internal investigations as well as antifraud and non-registration proceedings before the Securities and Exchange Commission and the state of Georgia.
Carey was formerly an associate with the firm, where he began his career in 2000. He received his J.D. in 2000 and his B.A. in 1996, both from Duke University.
Rick Frawley, Kansas City
Rick Frawley is a member of the Product Liability, Commercial Litigation and Labor & Employment Client Service Groups.
Frawley’s practice includes representation of business organizations and individuals in ownership disputes and claims arising out of the sale of business assets, technology and specialty products and services. Formerly an associate at the firm, he has substantial experience prosecuting and defending claims of misappropriation of trade secrets, non-compete agreements and other business torts.
Frawley received his J.D., with highest distinction, in 1999 from the University of Nebraska and his B.S., summa cum laude, in 1995 from the University of Dayton.
Erica Kassan, New York
Erica Kassan is one of the principal lawyers in the firm’s Alternative Investments Practice.
Formerly an associate at the firm, Kassan’s practice focuses on alternative investment structures and arrangements, including hedge funds, managed accounts, private equity funds and hybrid structures. She advises fund managers, pension funds and other institutional investors and family offices with regard to asset management contracts, advisory arrangements, fund formation and related matters. Kassan also has extensive experience in M&A, real estate and other joint ventures and general corporate matters.
She received her J.D., cum laude, in 1999 from Fordham University and her B.A. in 1996 from the University of Michigan.
Amy Lorenz-Moser, St. Louis
Amy Lorenz-Moser is a member of the Product Liability and Commercial Litigation Client Service Groups.
Her practice focuses on personal-injury defense, including product liability and toxic tort. Formerly an associate at the firm, she has defended product liability cases in many state and federal jurisdictions involving products such as automobiles, trucks, tires, auto-transport trailers, elevators, escalators, automatic doors, dock levelers, sirens, welding rods, saws, pharmaceuticals and other consumer and industrial equipment. Lorenz-Moser also has handled numerous toxic exposure cases involving lead ore concentrate, formaldehyde, benzene and other substances.
She received her J.D., Order of the Coif, in 2000 from the University of Missouri-Columbia and her B.A. in 1997 from Webster University.
Megan Meyers, Irvine
Megan Meyers is a member of the Corporate Finance & Securities, Technology, Entrepreneurial & Commercial Practice and Transactions Client Service Groups.
Meyers has experience representing private and public companies in a broad range of corporate transactional matters, including private equity investments, corporate acquisitions and divestitures, joint ventures and general commercial transactions. Formerly an associate at the firm, she also has experience in general business representation and counseling and corporate governance matters. Meyers also counsels and represents executives and companies in the design and implementation of executive compensation matters, including employment agreements, cash and equity-based incentive compensation and retention arrangements, change-in-control agreements and benefits and severance programs.
Meyers received her J.D. in 1998 from Indiana University-Bloomington and her B.B.A. in 1996 from the University of Notre Dame.
Jeremy Saideman, London
Jeremy Saideman is a member of the Transactions and Corporate Finance & Securities Client Service Groups.
Saideman practices general corporate and commercial transactional law, focusing on mergers and acquisitions, general corporate matters (including admission to AIM), joint ventures, corporate finance and shareholder and commercial agreements. His work has a particular emphasis on multinational and domestic acquisitions for both large, international corporations and midsize businesses in a broad range of industries. Formerly an associate at the firm, Saideman also has prior experience in all aspects of general commercial litigation, together with experience in defamation law.
He received his B.A. in economics and law, with honors, in 1990 from Gonville & Caius College, University of Cambridge, and Law Society Finals, with honors, in 1991 from the College of Law, London.
Paul Stearns, St. Louis
Paul Stearns, formerly an associate at the firm, is a member of the Commercial Litigation and Product Liability Client Service Groups.
Stearns has represented automobile companies in consumer fraud and breach of warranty class actions throughout the country. He also has litigated a wide range of banking and real estate matters, including breach of contracts and titles, landlord-tenant disagreements and property tax sales, and has experience defending corporate clients in ADA and FLSA claims.
Stearns received his J.D., summa cum laude, in 2000 from Southern Illinois University and his B.S. in 1988 from Illinois State University.
Rosario Vizzie, Santa Monica
Rosario Vizzie, formerly an associate at the firm, is a member of the Commercial Litigation Client Service Group.
Vizzie has handled a variety of complex commercial litigation matters focusing on a broad range of contract disputes involving major insurance companies, financial institutions, media and public relations firms, mortgage companies, manufacturers, distributors and retail businesses. His litigation experience includes trademark, copyright, unfair competition, unfair business practices, antitrust, entertainment, securities, products liability, tort, breach of contract and breach of warranty actions.
He received his J.D., cum laude, in 1995 from Syracuse University and his B.A., magna cum laude, in 1992 from Le Moyne College.
