Summary Notice of Proposed Settlement of Class Action and Settlement
To: All persons and entities who purchased EIS International, Inc.
(“EIS”) common stock and/or call options on the open market from November
28, 1995 through March 31, 1997, inclusive, excluding Defendants herein,
the officers and directors of EIS, Surefind Information Inc., and
Cybernetics Systems International Inc., and members of their immediate
family, any entity in which any Defendant has or during the Class Period
had a controlling interest, and the legal representatives, heirs,
successors, or assigns of any such excluded party (the “Class”).
YOU ARE HEREBY NOTIFIED, pursuant to Rule 23 of the Federal Rules of
Civil Procedure and an Order of the Court, that the above-captioned action, against EIS International, Inc. and Individual Defendants Joseph J.
Porfeli, Kent Klineman, and Edward Sarkisian, has been certified as a class action and that a settlement totaling $3,800,000 in cash against the
Defendants has been proposed. A hearing will be held before the Honorable
Christopher F. Droney in the Abraham Ribicoff Federal Building and United
States Courthouse, 450 Main Street, Hartford, Connecticut 06103, at 4:00
p.m., on December 20, 2006 to determine whether the proposed settlement,
plan of allocation and distribution of attorneys’ fees and expenses should be approved by the Court as fair, reasonable, and adequate.

To participate in the Settlement, you must submit a Proof of Claim and
Release form no later than January 19, 2007. If you are a Class member and do not exclude yourself from the Class, you will be bound by the Final Order and Judgment of the Court. If you have not already excluded yourself from the class, but wish to do so now, you must submit a request for exclusion postmarked no later than December 6, 2006, in the manner set forth in the Settlement Notice. If you are a Class member and do not submit a proper Proof of Claim and Release, you will not share in the Settlement in the Class Action, but you nevertheless will be bound by the Final Order and Judgment of the Court.
