NEW YORK, May 21, 2013 LawFuel.com — The Rosen Law Firm, court-appointed Lead Counsel for Keyuan common stock purchasers from August 16, 2010 through October 7, 2011, inclusive (“Class Period”), announces that Plaintiffs have filed a third amended complaint (“Complaint”) against Keyuan, Chunfeng Tao, Aichun Li (a/k/a/ Aichun Angela Li, Angela Li and Angela Aichun Li), Weifeng Xue and Delight Reward Limited.
In addition to shareholders who acquired Keyuan stock during the Class Period, the Complaint is brought on behalf of all persons who purchased Keyuan Units pursuant to a confidential private offering memorandum dated March 22, 2010, comprised of a first tranche that closed on April 22, 2010 and a second tranche that closed on May 18, 2010 (the “Private Placement”). Plaintiffs allege that the offering documents for the Private Placement were misleading because they failed to disclose material related party transactions in violation of Section 10(b) of the Securities Exchange Act of 1934.
